Welcome to MILI. These Terms and Conditions ("Terms") govern your access to and use of the MILI website, online store, products, and services.
By accessing the MILI website, creating an account, using the website as a guest, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any policies expressly incorporated into them.
If you do not agree with these Terms, please do not use the website or purchase Products from MILI.
We recommend that you read these Terms carefully before placing an order. They explain how orders are placed and accepted, how payments and deliveries are handled, and the rights and responsibilities of MILI and its Customers.
1. Definitions and Interpretation
1.1 Interpretation
Any reference in these Terms to any statute, law, regulation, or legal provision shall include any amendment, modification, re-enactment, replacement, or extension of that provision from time to time.
The words "include," "includes," and "including" shall be understood to mean "including without limitation."
Unless expressly stated otherwise, references to days mean calendar days. References to a "month" or "monthly" refer to calendar months.
Headings are included for convenience only and shall not affect the interpretation of these Terms.
If there is any conflict between these Terms and another MILI policy or document, the provision that specifically addresses the relevant subject matter shall apply. Where applicable, mandatory rights and protections under Philippine law shall prevail.
1.2 Definitions
Unless the context otherwise requires, the following terms shall have the meanings set out below:
- "Account" means an online account created by a Customer where MILI makes account registration available.
- "Business Day" means a day, excluding Saturdays, Sundays, and public holidays in the Philippines, on which banks are generally open for business in the Philippines.
- "Customer," "you," or "your" means any individual who accesses the Online Store, creates an Account, places an Order, purchases a Product, or otherwise uses the services made available through the Online Store.
- "Intellectual Property" means all copyrights, trademarks, service marks, trade names, logos, patents, utility innovations, registered and unregistered designs, design rights, domain names, database rights, trade secrets, confidential information, goodwill, and other proprietary or intellectual property rights, whether existing now or created in the future, together with all applications, renewals, extensions, and rights to enforce or seek remedies for infringement of those rights.
- "Listing Price" means the price displayed for a Product on the Online Store at the time the relevant Order is placed, subject to correction of any obvious pricing or listing error.
- "MILI," "we," "us," or "our" means MILI Fashion OPC, a company incorporated and existing under the laws of the Republic of the Philippines, with SEC Registration No. 2026050251610-47.
- "Online Store" means the MILI website and online shopping platform through which Customers may browse Products, create Accounts where available, and place Orders.
- "Order" means a request submitted by a Customer to purchase one or more Products through the Online Store.
- "Order Form" means the online checkout form or ordering process through which a Customer provides the information required to place an Order.
- "Payment Processor" means any third-party payment gateway, payment service provider, bank, financial institution, or other service provider engaged or utilized by MILI to facilitate or process payments made through the Online Store.
- "Personal Data" means information relating to an identified or identifiable individual that is collected or processed in connection with the Online Store, including, where applicable, a Customer's name, email address, telephone number, billing information, shipping information, and payment-related information. Personal Data shall be handled in accordance with MILI's Privacy Policy and applicable Philippine data protection laws.
- "Product" means any apparel, accessory, merchandise, or other item offered for purchase through the Online Store, including any component or part of such item.
- "Services" means the services provided by MILI through or in connection with the Online Store, including online ordering, payment processing, customer support, and order fulfillment.
- "Trademarks" means the MILI name, logos, marks, trade names, service marks, and other branding owned by or licensed to MILI.
- "Username" means the email address, identification name, or other identifier used by a Customer to access an Account, where applicable.
2. Use of the Online Store
2.1 Access and Registration
Certain features of the Online Store may require a Customer to create an Account. Where registration is required or offered, Customers must provide information that is accurate, complete, and current.
Customers are responsible for updating their information when necessary and for ensuring that the information provided to MILI remains accurate.
MILI may decline, suspend, or terminate an Account where it reasonably believes that the information provided is false, misleading, fraudulent, or otherwise violates these Terms.
2.2 Guest Shopping
Where available, Customers may purchase Products without creating an Account.
Customers using guest checkout must provide the information reasonably required to process and fulfill their Order, which may include their name, email address, telephone number, billing information, and delivery address.
2.3 Account Security
If you create an Account, you are responsible for keeping your login credentials confidential and for taking reasonable steps to prevent unauthorized access.
You must notify MILI promptly if you believe that your Account or login credentials have been compromised or accessed without authorization.
MILI will not be responsible for unauthorized activity resulting from a Customer's failure to maintain the confidentiality of their Account credentials, except to the extent otherwise required by applicable law.
2.4 Website Availability
MILI may update, modify, suspend, restrict, or discontinue any part of the Online Store, including particular features, Products, or Services, from time to time.
MILI will make reasonable efforts to maintain the availability and functionality of the Online Store but does not guarantee that the website will always be available, uninterrupted, secure, or error-free.
3. Orders and Purchase of Products
3.1 Placing an Order
Customers may place Orders by selecting Products through the Online Store and completing the applicable checkout process.
Before submitting an Order, Customers are responsible for reviewing the Products selected, quantities, sizes, colors, delivery information, and other details entered during checkout.
Once an Order is submitted, MILI may send an electronic confirmation acknowledging receipt of the Order.
3.2 Order Confirmation and Acceptance
An Order confirmation confirms that MILI has received the Order. It does not necessarily mean that MILI has accepted the Order.
An Order will be considered accepted when MILI confirms acceptance or dispatches the applicable Product, unless otherwise required by applicable law.
MILI reserves the right to decline, cancel, or limit an Order before acceptance for legitimate reasons, including:
- the Product being unavailable;
- an error in the Product description or Listing Price;
- payment authorization being declined or unsuccessful;
- suspected fraud or unauthorized activity;
- inaccurate or incomplete Customer information;
- shipping or delivery restrictions;
- quality-control concerns; or
- a Customer's violation of these Terms.
If MILI cancels an Order after payment has been received, the applicable amount paid for the cancelled Order will be refunded in accordance with applicable law and MILI's applicable refund procedures.
3.3 Order Changes and Cancellation
Customers should carefully review their Orders before completing checkout.
Once an Order has been submitted, MILI may be unable to accommodate requests to change or cancel it, particularly once processing or fulfillment has begun.
Any cancellation rights available to a Customer shall be subject to MILI's applicable Returns & Exchanges Policy and any rights that cannot legally be excluded under Philippine law.
3.4 Product Availability
Products placed in a shopping cart are not considered reserved or guaranteed for purchase until an Order has been successfully submitted and accepted.
MILI may limit the quantity of Products that may be purchased by a Customer, household, Account, billing address, delivery address, or payment method where reasonably necessary, including to prevent abuse, fraudulent activity, or unauthorized resale.
3.5 Personal or Non-Commercial Purchases
Unless MILI expressly authorizes otherwise, Products sold through the Online Store are intended for personal use and not for commercial resale.
MILI reserves the right to refuse or cancel Orders that it reasonably believes are intended for unauthorized resale, bulk commercial distribution, or other activity inconsistent with MILI's intended retail use of the Online Store.
4. Product Information and Pricing
4.1 Product Descriptions
MILI makes reasonable efforts to ensure that Product names, descriptions, measurements, images, specifications, and other information displayed on the Online Store are accurate.
However, photographs and digital representations are provided for general product visualization, and actual colors, textures, finishes, or appearance may vary depending on lighting, photography, display settings, and individual screens.
Minor variations in fabric, texture, color, or construction may occur as part of normal manufacturing and do not necessarily constitute a Product defect.
Nothing in this section limits any rights available to Customers in respect of Products that are defective, materially different from what was ordered, or otherwise fail to comply with applicable law.
4.2 Pricing
Prices displayed on the Online Store are stated in the applicable currency and may include or exclude applicable taxes, duties, and delivery charges as indicated during checkout.
For Philippine Orders, prices will generally be displayed in Philippine Pesos unless otherwise stated.
MILI may change Product prices, promotions, or offers at any time. The price applicable to an accepted Order will be the price communicated at the time of Order acceptance, except where correction of an obvious or manifest pricing error is necessary.
If MILI identifies a material pricing error before an Order is accepted, MILI may cancel the affected Order and provide the Customer with notice and, where payment has already been made, an applicable refund.
4.3 Promotions
Discounts, promotional codes, campaigns, contests, special offers, and other promotional activities may be subject to additional terms.
Where specific promotional rules conflict with these Terms, the specific rules applicable to the promotion shall govern that promotion.
MILI reserves the right to withdraw or modify promotions where permitted by law.
5. Payment
Customers may pay for Orders using the payment methods made available through the Online Store at the time of purchase.
Available payment methods may include credit cards, debit cards, e-wallets, online banking, buy-now-pay-later services, or other payment methods supported by MILI's Payment Processor.
MILI may add, remove, suspend, or modify available payment methods from time to time.
5.1 Payment Authorization
By submitting payment information, you confirm that:
- the information provided is accurate;
- you are authorized to use the selected payment method; and
- you authorize MILI and/or its Payment Processor to process the applicable transaction.
Payment transactions may be subject to verification, authentication, authorization, fraud screening, and other security procedures imposed by MILI, its Payment Processor, or the relevant financial institution.
MILI may decline or place an Order on hold where payment cannot be successfully authorized or where a transaction is reasonably suspected to be fraudulent or unauthorized.
5.2 Payment Security
Payment information may be collected and processed directly by third-party Payment Processors.
MILI will take reasonable measures within its control to protect information processed through its systems. However, MILI cannot guarantee the security of information transmitted over the internet or systems operated by independent third parties.
Customers may be redirected to a Payment Processor's website or payment interface to complete a transaction. Such payment services may be governed by the Payment Processor's own terms and privacy policies.
5.3 Fraud Prevention
MILI may conduct reasonable fraud-prevention and transaction-verification procedures in connection with Orders.
Where reasonably necessary and permitted by law, information relating to a transaction may be shared with Payment Processors, financial institutions, fraud-prevention providers, logistics providers, or relevant authorities for the purposes of authentication, fraud prevention, payment processing, and fulfillment.
MILI's handling of Personal Data remains subject to its Privacy Policy and applicable data protection laws.
6. Shipping and Delivery
6.1 Delivery Address
Products will be delivered to the address provided by the Customer during checkout.
Customers are responsible for ensuring that their delivery information is complete and accurate.
MILI shall not be responsible for failed or delayed delivery resulting from incorrect, incomplete, or outdated information supplied by the Customer. Additional delivery charges may apply where re-delivery is required because of inaccurate delivery information.
6.2 Delivery Charges
Applicable shipping or delivery charges will be displayed during checkout or otherwise communicated before an Order is completed.
Additional charges may apply in certain locations or circumstances where disclosed at checkout or permitted by applicable law.
6.3 Delivery Estimates
Please allow up to 15 Business Days for dispatch. Courier delivery time begins after the Order is handed over to the courier and is additional to the dispatch period. Any courier transit estimate is counted from dispatch, not from the date the Order is placed, unless expressly stated otherwise. MILI will make reasonable efforts to meet the applicable estimates communicated for the Order.
Delivery estimates are provided for guidance and may vary depending on location, Product availability, carrier capacity, weather, holidays, and other circumstances.
MILI is not responsible for delays caused by events or circumstances outside its reasonable control.
6.4 Tracking
Where available, Customers may receive tracking information after an Order has been dispatched.
Tracking information is provided by the applicable delivery provider and may not update immediately or continuously.
Customers should contact MILI through the designated customer service channel if an Order appears significantly delayed, lost, or otherwise requires investigation.
6.5 Delivery and Risk
Unless otherwise required by applicable law, responsibility for the Product will pass to the Customer upon delivery to the Customer or to the person reasonably identified by the Customer to receive the Order at the delivery address.
If a Customer wrongfully refuses or fails to accept delivery, responsibility may pass at the time delivery was properly attempted, subject to applicable law.
7. Returns, Exchanges, Refunds and Defective Products
Returns, exchanges, refunds, and defective Product claims are governed by MILI's Returns & Exchanges Policy, which forms part of these Terms.
Customers should review that policy before placing an Order.
Products that are defective, damaged upon receipt, incorrect, or materially different from the Product ordered will be handled in accordance with the applicable Returns & Exchanges Policy and Philippine consumer protection laws.
Nothing in these Terms limits any mandatory statutory rights or remedies available to Customers under Philippine law.
8. Risk and Ownership of Products
Where permitted by law, ownership of a Product purchased through the Online Store will pass to the Customer once MILI has received full payment for that Product and any applicable delivery charges.
Risk of loss or damage will pass to the Customer upon delivery, subject to applicable law and the terms of the applicable delivery arrangement.
Nothing in this section affects a Customer's statutory rights in relation to defective, damaged, or incorrectly supplied Products.
9. Acceptable Use
Customers must use the Online Store lawfully and responsibly.
You must not use or attempt to use the Online Store in a manner that:
- violates any applicable law or regulation;
- is fraudulent, deceptive, abusive, or unlawful;
- provides false, misleading, or materially incomplete information;
- impersonates another person or organization;
- infringes the intellectual property, privacy, or other rights of MILI or any third party;
- interferes with the operation, security, or integrity of the Online Store;
- introduces viruses, malware, malicious code, or other harmful technology;
- attempts to gain unauthorized access to MILI's systems or another Customer's Account;
- uses bots, scraping tools, or automated systems to access or extract information without authorization;
- attempts to manipulate pricing, promotions, reviews, discounts, payment systems, or other website functionality; or
- otherwise violates these Terms.
MILI may take reasonable steps to investigate suspected violations and may restrict or suspend access where necessary to protect MILI, its Customers, its systems, or third parties.
10. Intellectual Property
All Intellectual Property relating to MILI and the Online Store, including the MILI name, logos, trademarks, product designs, photographs, videos, graphics, written content, layouts, software, product descriptions, and other materials, is owned by or licensed to MILI.
Your use of the Online Store does not transfer or grant you any ownership interest or license in MILI's Intellectual Property except for the limited right to access and use the Online Store for its intended personal purpose.
You may not, without MILI's prior written permission:
- reproduce or commercially use MILI's content;
- copy, modify, distribute, or republish website materials;
- remove trademarks, copyright notices, labels, or other proprietary markings;
- reproduce or commercially exploit MILI's product designs or branding; or
- use MILI's Intellectual Property in a manner that suggests an endorsement, affiliation, sponsorship, or partnership that does not exist.
MILI reserves all rights not expressly granted under these Terms.
11. Website Content and User Activity
MILI endeavors to maintain accurate and useful information on the Online Store but does not warrant that all website content will always be complete, current, uninterrupted, or free from errors.
MILI may correct typographical, pricing, product, inventory, or other website errors without liability, subject to applicable law.
Where the Online Store allows Customers to submit reviews, comments, photographs, or other content, Customers remain responsible for the content they submit.
Customers must not submit content that is unlawful, defamatory, fraudulent, abusive, discriminatory, obscene, infringing, or otherwise inappropriate.
MILI may remove or restrict content that violates these Terms or applicable law.
12. Third-Party Services and Links
The Online Store may contain links to or integrate services operated by third parties, including Payment Processors, shipping providers, technology providers, social media platforms, and other service providers.
Third-party services may have their own terms, policies, and privacy practices.
MILI does not control and is not responsible for the availability, content, security, or practices of independent third-party websites or services, except to the extent required by applicable law.
13. Force Majeure
MILI will not be responsible for any delay, interruption, failure, or inability to perform its obligations where the circumstances arise from events beyond MILI's reasonable control.
Such events may include natural disasters, severe weather, fire, epidemic or pandemic events, government restrictions, labor disruptions, transportation interruptions, telecommunications or internet failures, payment-system outages, cyber incidents affecting third-party infrastructure, civil unrest, or other circumstances that MILI could not reasonably prevent or overcome.
MILI will make reasonable efforts to resume affected Services as soon as reasonably practicable.
14. Limitation of Liability
To the fullest extent permitted by applicable law, MILI will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from or relating to use of the Online Store, inability to access the Online Store, or the purchase or use of Products.
MILI will not be responsible for losses arising from circumstances outside its reasonable control or from information that the Customer has provided inaccurately or incompletely.
Where liability cannot legally be excluded, MILI's liability shall be limited to the extent permitted by applicable law.
Nothing in these Terms excludes or limits any liability, consumer protection, warranty, remedy, or other right that cannot legally be excluded or limited under Philippine law.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless MILI Fashion OPC and its officers, directors, employees, agents, contractors, service providers, and affiliates from claims, losses, damages, liabilities, and reasonable costs arising from:
- your material breach of these Terms;
- your unlawful or fraudulent use of the Online Store;
- your violation of another person's rights; or
- your misuse of the Online Store or MILI's Intellectual Property.
This provision does not require a Customer to indemnify MILI for losses caused by MILI's own unlawful conduct, negligence, or breach of a non-excludable legal obligation.
16. No Waiver
MILI's failure or delay in enforcing any provision of these Terms shall not constitute a waiver of that provision or prevent MILI from enforcing the same provision or any other provision in the future.
Any waiver must be expressly made by MILI in writing.
17. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be modified or interpreted to the minimum extent necessary to make it valid and enforceable where permitted by law.
The remaining provisions shall continue in full force and effect.
18. Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between MILI and a Customer.
Customers may not represent themselves as an employee, agent, representative, partner, or authorized representative of MILI unless expressly authorized by MILI in writing.
19. General Provisions
19.1 Correction of Errors
MILI may correct typographical, clerical, pricing, inventory, or other inadvertent errors in Orders, invoices, confirmations, website content, or other communications.
Where such correction materially affects an Order that has already been accepted, MILI will provide appropriate notice and any remedy required by applicable law.
19.2 Currency
Unless otherwise stated, prices for Orders delivered within the Philippines will be displayed and charged in Philippine Pesos (PHP).
MILI currently ships within the Philippines only.
19.3 Assignment and Delegation
MILI may engage third-party service providers, contractors, agents, logistics providers, technology providers, and Payment Processors to perform functions necessary to operate the Online Store and fulfill its obligations under these Terms.
MILI remains responsible for its obligations to Customers to the extent required by applicable law.
20. Changes to These Terms
MILI may update these Terms from time to time to reflect changes to its business, Products, Services, technology, or legal obligations.
The updated Terms will be posted on the Online Store and the "Last Updated" date will indicate when they were most recently revised.
Changes will generally apply prospectively. Terms in effect at the time an Order is accepted will continue to govern that Order unless a change is required by law or otherwise agreed between MILI and the Customer.
Continued use of the Online Store following publication of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
21. Entire Agreement
These Terms, together with MILI's Privacy Policy, Returns & Exchanges Policy, Shipping Policy, and any other policies expressly incorporated into these Terms, constitute the agreement between MILI and the Customer concerning the use of the Online Store and the purchase of Products.
These Terms supersede prior representations or understandings concerning the same subject matter, except where otherwise expressly agreed or required by applicable law.
22. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms, an Order, or the use of the Online Store shall be brought before the appropriate courts of the Philippines, subject to any mandatory jurisdictional or consumer-protection requirements under applicable law.
Nothing in this provision prevents a Customer from exercising any mandatory rights or remedies available under Philippine law.
